Terms of Service
Last updated: 24 September 2026
1. About these terms
These terms are an agreement between Andesphere Ltd, a company registered in England and Wales with company number 16350517, registered office 169 Westbourne Grove, Westcliff-on-Sea SS0 9TX, United Kingdom ("Andesphere", "we", "us"), and the business that signs up for Andy Partner ("you").
They apply to customers outside Chile. Customers in Chile contract with Andesphere SpA under separate Chilean terms.
By creating an account, you accept these terms. If you accept them for a company, you confirm you have authority to bind it.
These terms include:
- the Data Processing Agreement (DPA), which applies whenever we process your end customers' personal data;
- the Privacy Notice, which explains how we use data about you and your team.
2. Business use only
Andy Partner is for businesses. You confirm you are using it for your trade, business or profession, and not as a consumer.
3. The service
Andy Partner lets you set up AI agents ("agents") that answer your customers ("end customers") on channels such as WhatsApp, Instagram direct messages, your website chat, Slack and voice. Agents can capture leads, book appointments in your Google Calendar, and hand conversations to your team.
We may change, add or remove features. If a change materially reduces a paid feature you use, we will tell you at least 30 days before. You may then cancel and get a pro-rata refund of prepaid fees for the rest of your term.
4. Your account
- Keep your sign-in details secure. You are responsible for activity on your account.
- You can invite team members to your workspace. You are responsible for what they do.
- Give us accurate information and keep it up to date.
- You must be at least 18.
5. Plans, trials and billing
- Plans. Plans, prices and limits are shown on our pricing page and at checkout.
- Currency. We charge in US dollars. Your bank may charge conversion fees.
- Payment. Stripe processes payments. You authorise us, through Stripe, to charge your payment method at the start of each billing period.
- Renewal. Subscriptions renew automatically at the end of each billing period until cancelled.
- Trials. If we offer a free trial, its length is shown at checkout. You may not need a payment method to start one. When it ends, it becomes a paid subscription if you have added a payment method. If you have not, the subscription ends.
- Taxes. Prices do not include taxes. Andesphere Ltd is not registered for VAT, so we do not charge UK VAT. You are responsible for any taxes due in your country, including under reverse charge rules.
- Price changes. We will give at least 30 days' notice of a price increase. It applies from your next renewal after the notice period.
- Late payment. If a payment fails, we email you and Stripe retries the charge. Your workspace keeps working while the retries run. If payment still fails, we may limit or suspend your account.
6. Cancellation and refunds
- You can cancel at any time in your billing settings.
- Cancellation takes effect at the end of your current billing period. You keep access until then.
- We do not refund partial periods, except where the law requires it or these terms say otherwise (sections 3 and 19).
- Deleting your account also cancels your subscription at the end of the current period.
7. Acceptable use
You must not use Andy Partner, or let anyone else use it, to:
- break any law, including data protection, marketing, consumer protection and anti-spam law;
- send messages people have not agreed to receive, or bulk messages without a lawful basis and a working opt-out;
- break the terms or policies of any channel you connect. This includes the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy, Meta's Platform Terms, and the Instagram Terms of Use and Community Guidelines;
- offer goods or services those policies ban;
- collect special category data (such as health, religion or sexual orientation), or data about children, unless the law allows it and you have the safeguards it requires;
- make decisions with legal or similarly significant effects on people using only the agent's output;
- present the agent as a human where the law, or a channel's rules, requires you to disclose that it is automated;
- send malware, abusive, defamatory or infringing content;
- try to get around usage limits, security controls or other customers' data;
- copy, resell or reverse engineer the service, except where the law allows;
- use the service to build a competing product.
We may suspend an agent, a channel or your account if we reasonably believe you broke this section. Where we can, we will tell you first and give you a chance to fix it.
8. WhatsApp connections
Andy offers two ways to connect WhatsApp.
Official WhatsApp by Meta. This uses Meta's official WhatsApp Business Platform API. You connect your number through Meta's signup flow and accept Meta's terms. Meta sets the rules and may charge you for some messages.
WhatsApp Direct (unofficial). This option links your WhatsApp number to Andy the same way WhatsApp Web links a device, with a QR code or pairing code. It uses third-party open-source software, not Meta's official API. Please read this before you use it:
- It is unofficial, and Meta has not approved it. WhatsApp's terms do not allow unofficial or automated access to its service.
- Your number can be banned. WhatsApp may restrict or permanently ban any number connected this way, without warning. You may lose that number's chats, contacts and business history.
- It can stop working at any time. A WhatsApp change can break it. We do not guarantee it will work, or keep working.
- We can switch it off. We may disable it for you or for everyone, at any time.
- You accept the risk. You choose to use it at your own risk. We are not liable for any ban, restriction, loss of number, loss of data or lost business that results. This does not limit anything the law does not allow us to limit.
- We recommend Official WhatsApp by Meta for any number your business depends on.
9. Your end customers and your responsibilities
You are the controller of your end customers' personal data. We process it for you under the DPA. You are responsible for:
- telling your end customers, in your own privacy notice, that you use Andy and AI to handle their messages;
- having a lawful basis for the processing, and any consent the law requires, including for marketing and bulk messages;
- telling end customers they are talking to an automated agent where the law, or a channel, requires it;
- the instructions, knowledge and settings you give your agents;
- honouring your end customers' rights requests. We will help as the DPA says;
- checking bookings, prices and promises your agent makes before relying on them.
10. AI output
- Agents use AI models. AI output can be wrong, incomplete, out of date or inappropriate, even when the agent sounds confident.
- Output is not professional advice (legal, medical, financial or any other kind).
- You are responsible for reviewing how your agent behaves, for setting handoff rules, and for anything you decide based on its output.
- We may change the AI models we use, to keep the service working or improve it. Changes can affect how agents reply.
- We do not use your data or your end customers' data to train AI models. We do not use your end customers' data in other Andesphere products.
11. Your data and content
- You own your content, including your agent settings, knowledge and conversations.
- You give us a non-exclusive licence to host, copy, process and show your content only as needed to provide, secure and support the service for you.
- We may use aggregated, anonymised usage figures that do not identify you or anyone else to run and improve Andy Partner.
- You can delete content as the app allows, or ask us to delete or return it. When the agreement ends, we handle your data as the DPA says.
12. Third-party services
The service depends on services we do not control, such as Meta, Google, Stripe and AI model providers. Their terms apply to your use of them. We are not responsible for their availability or their actions, including a channel suspending your account.
13. Availability and support
We aim to keep Andy Partner available and working. We do not promise it will be uninterrupted or error-free. We do not offer a service level agreement unless we agree one in writing. Product support starts in the signed-in App support bubble, with public reply notifications from the configured Soporte sender.
14. Confidentiality
Each party will keep the other's non-public information confidential. Each party will use it only for this agreement. This does not cover information that is public, already known, independently developed or required by law to be disclosed.
15. Our intellectual property
We own Andy Partner and everything in it apart from your content. If you send us feedback, we may use it freely.
16. Warranties
We provide the service with reasonable skill and care. Apart from that, and to the extent the law allows, we give no other warranties. We make no promise that the service will meet your particular needs.
17. Liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow us to limit.
- Subject to point 1, neither party is liable for loss of profit, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss.
- Subject to point 1, each party's total liability under or in connection with these terms in any 12 months is limited to the greater of (a) the fees you paid us in the 12 months before the event that caused the claim, and (b) USD 100.
- The cap in point 3 does not apply to your obligation to pay fees, or to your indemnity in section 18.
18. Your indemnity
You will cover our reasonable losses and costs from third-party claims that arise from:
- your content or your agents' instructions;
- your breach of section 7, section 8 or section 9;
- your breach of any channel's terms, including WhatsApp's.
19. Suspension and termination
- You may end the agreement at any time by cancelling and deleting your account.
- We may end it with 30 days' notice for any reason. If we do, we refund prepaid fees for the rest of your term.
- Either party may end it straight away if the other seriously breaches these terms and does not fix the breach within 14 days of notice.
- We may suspend the service straight away to prevent harm, abuse or a security risk, or if the law requires.
- When the agreement ends, your access stops and we handle your data as the DPA says.
20. Changes to these terms
We may update these terms. We will email you at least 30 days before a material change takes effect. If you do not agree, you may cancel before then. If you keep using the service after the change, the new terms apply.
21. Governing law and courts
These terms, and any dispute or claim about them, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
22. General
- Entire agreement. These terms, the DPA and any order you place are the whole agreement between us about Andy Partner.
- Transfer. We may transfer this agreement to a group company or a buyer of our business. You may not transfer it without our written consent.
- Third parties. No one else has rights under these terms under the Contracts (Rights of Third Parties) Act 1999.
- Events outside our control. We are not liable for delays or failures caused by events beyond our reasonable control, including channel or provider outages.
- Severability. If a court finds part of these terms invalid, the rest stays in force.
- Notices. We send notices to your account email. You send notices to support@andesphere.com.
